  • Responsibilities

    The Associate Counsel – Procurement Legal will lead the provision of legal support for the indirect supply chain, including negotiating complex agreements for SaaS, software, IT and business process outsourcing, consulting services, logistics services, data protection, recruitment, contingent labor, event/venue, and HR benefits. This role will draft, maintain and improve contract templates and process, factoring in evolving business requirements, sustainability, regulatory, and quality requirements. The role may also include support of the direct supply chain negotiating and drafting agreements for raw materials, packaging, and third-party manufacturing. This position is part of ELC’s Global Legal organization and is responsible for sophisticated commercial contract-related work primarily in North America but also in jurisdictions throughout the world.

    • 75% Contract Negotiation and Legal Advice. While negotiating and drafting supplier agreements, provide legal advice and options to senior leaders for commodities in the direct supply chain and sometimes the indirect supply chain. High degree of problem solving, independent action and decision making is required as part of the commercial contracting process, along with advising the business on the decisions they must make.
    • 20% Template Drafting. Participate in and lead template drafting projects to create efficiencies and repeatable processes. High degree of problem-solving skill is required along with decision making skills to architect the correct forms.
    • 5% Outside Counsel and Dispute Management. Coordinate with, and occasionally manage, outside law firms with respect to highly complex or specialized transactions, as well as litigation arising from breach of contract and other contract-related disputes. High degree of problem-solving skill is required to evaluate options and advise the business.

    Qualifications

    • JD from US law school
    • Licensed or eligible to practice in NY or in the local jurisdiction
    • Experienced, business-oriented corporate lawyer leading legal support for functional areas within the Supply Chain (including Procurement) and IT.
    • Excellence in drafting, reviewing and negotiating various commercial contracts related to procurement of technology, HR benefits, logistics, goods, and services.
    • Excellence in negotiating indirect supplier agreements such as SaaS and software license, IT and business process outsourcing, data licensing, software development, consulting and professional services, logistics and warehouse services, facility services, and statements of work.
    • Drive the building, updating and refining contract templates and playbooks reflecting the business requirements.
    • Drive contract-related process improvements including negotiation workflows, automations, and checklists to lessen or eliminate the need for legal review.
    • Competent to address privacy and data security requirements within supplier agreements.
    • Is execution-focused to meet deadlines, prioritize workload, adapt to changing conditions and operate in a complex matrix environment; strong project management skills.
    • Keen attention to detail along with strong written (business drafting and legal drafting) and oral communication skills.
    • Cosmetic or consumer goods industry experience.
    • Strong technical skills with experience in Microsoft Office 365, SAP, Ariba, Legal Tracker, contract lifecycle and workflow management systems.
    • Experience with negotiating resolution to contract disputes and managing outside counsel.
    • Experience with contract automation systems and related technology a plus.

    The anticipated base salary range for this position is $105,500 to $181,500 . Exact salary depends on several factors such as experience, skills, education, and budget. Salary range may vary based on geographic location. In addition to base salary, this position is eligible for participation in a highly competitive bonus program with possibility for overachievement based on performance and company results as well as participation in the share incentive plan.
