    Job Description

    SOCOTEC is looking for a well-organized Assistant General Counsel, to be based in office at our New York, Headquarters location.

    Reporting to the Chief Legal Counsel, you will assist in contributing to the growth and development of this organization's business by supporting the Legal Department in its many roles and functions within the business. As Assistant General Counsel you will work closely with our legal team and senior business management staff in all phases of contracts, professional licensing, litigation, collections, insurance, employment matters, as well as mergers and acquisitions, office leasing, corporate governance, compliance management, and advising on other issues facing the business. Responsible for delivering the operational execution of legal services and collaborating in the development and use of new technologies, strategies and priorities to enhance such tasks, you will be empowered to implement and optimize legal solutions in order to provide competitive advantage to the business.

    The scope of the position includes providing Legal oversight in support of senior executives, engineers, architects, project managers, sales and marketing personnel, finance and HR.

    Key Responsibilities:

    • Review, negotiate and facilitate execution of all contracts supporting the operation of the business, including consulting services agreement, sub-consultant agreements, vendor documentation
    • Organize, maintain and track contract status
    • Support project managers in the administration of the business
    • Manage all state business registrations and professional licensing enabling the performance of services in each state in which the business operates
    • Manage all related Risk management functions including insurance policies, ethics and other policies governing conduct of Socotec employees, and coverages.
    • Facilitate accurate and timely responses to legal notices, subpoenas, litigation and requests for company information related to business operations.
    • Assist with Socotec Group compliance matters.
    • Support the finance group with collections efforts.
    • Provide legal support on acquisitions, joint ventures, and other strategic transactions and investments, including conducting due diligence and negotiating and drafting transaction documents.
    • Draft and negotiate purchase agreements, non-disclosure agreements, letters of intent, term sheets, financial and legal advisors' engagement letters, merger/share or asset purchase agreements, and shareholder agreements.
    • Review and negotiate office leasing
    • Maintain corporate entity formalities including drafting resolutions and consents
  • Qualifications

    Qualifications

    • Targeting at least 5-7 years of general corporate law experience in a law firm
    • Law Degree and admitted to the NY State Bar
    • Experience with contracts related to services and business operations
    • Must demonstrate a high degree of time management and organizational skills resulting in the ability to prioritize/manage multiple projects at various stages of delivery.
    • Must exercise good legal and business judgment while working to identify, develop, draft, negotiate, and implement proactive and creative business-oriented solutions.
    • Must demonstrate the ability to interact and influence colleagues and transaction participants across functional skill sets and seniority levels.
    • Detail oriented and highly motivated, organized, self-starter, ability to work well with others under deadline situations and respond to changes in priorities
    • Effective written and verbal communication and strong interpersonal skills with the ability to thrive within multi-disciplinary corporate

    Preferred Experience/Skills:

    • Experience in a professional services industry preferred
    • Experience working in international markets is a plus
    • Experience in supporting a highly distributed workforce including multiple legal entities with specific professional licensing requirements is preferred

    Job Type: Full-Time

    Salary: $170,000-$190,000
