Our law firm has a full-time associate attorney position available now and we’re looking for the right professional to join our team. You will have the opportunity to learn from other attorneys at the firm on legal issues and will provide legal counsel to existing clients. You’ll also be responsible for developing solutions for clients, drafting documents, communicating with clients, and keeping client files up to date. Responsibilities: • Assisting with the formation and structuring of entities, including drafting operating agreements, bylaws, and other governance documents. • Conducting legal research and providing practical advice on • business, corporate finance, and M&A matters. • Supporting the preparation of client presentations and legal • recommendations. • Participating in client meetings and conference calls to discuss • strategies and solutions. • Drafting, reviewing, and revising contracts, purchase • agreements, NDAs, and other legal documents. • Assisting with due diligence efforts for mergers, acquisitions, • and other corporate transactions. • Preparing closing documents and coordinating closings for • business deals. • Reviewing compliance documents, business filings, and corporate • records. Qualifications: • Active membership with the American Bar Association (ABA) • Prepared to learn from senior attorneys to meet our client needs and grow our client base • Has a Juris Doctor (J.D. degree) from an accredited law school • Successful completion of the bar exam • Solid communication skills and problem-solving skills required in order to work with clients, staff members and senior attorneys Compensation: $80,000
