    Our client, a private real estate investment and development firm with over $3.2 billion in assets, is seeking an experienced Associate Counsel to support the General Counsel in handling a variety of transactional matters.

    This role focuses on entity formation, business transactions, and other corporate operational and strategic initiatives. The ideal candidate will have a strong corporate background, though it is not required, and experience drafting LLC and corporate formation documents with a solid understanding of corporate governance. Familiarity with membership interest and stock transactions would be highly beneficial.

    Prior in-house experience is a plus, as it provides valuable insight into the unique dynamics of an internal legal team. Unlike many similar positions, this position offers an excellent work-life balance with a standard 40-hour workweek.

    Associate Corporate Counsel Responsibilities:

    • Prepare and oversee loan documentation for the company’s internal lending division, ensuring accuracy and compliance.
    • Manage the formation, maintenance, and compliance of multiple entities, including corporations and LLCs.
    • Provide strategic legal guidance on corporate governance, ensuring adherence to regulations.
    • Draft, review, and negotiate a variety of commercial agreements, such as NDAs, vendor contracts, and service agreements.
    • Conduct in-depth legal research and offer insights on entity management and business transactions.
    • Partner with internal teams to support operational initiatives and strategic business objectives.
    • Manage relationships with outside counsel, coordinating legal matters as necessary.
    • Monitor regulatory changes and proactively assess their potential impact on the organization.

    Associate Corporate Counsel Qualifications:

    • At least 3 years of corporate law experience, focusing on entity formation and commercial transactions.
    • JD from an accredited law school and admission to the Washington State Bar.
    • Proficiency in drafting, negotiation, and communication, with strong organizational and analytical skills.
    • Familiarity with legal research tools, Microsoft Office, and industry regulations.
    • Background in a corporate legal department or law firm.
    • Experience with compliance and industry-specific regulations.

    Compensation: $125,000 - $150,000 + performance bonus
