Mid-Level M&A Associate – Technology & Life Sciences | Multiple Locations
Our client, a top-tier technology and life sciences law firm, is seeking a Mid-Level Corporate M&A Associate with 3-5 years of experience to join their highly regarded M&A practice. With a reputation as one of the world’s leading technology M&A law firms, this firm has handled over $750 billion in transactions, including strategic exits for unicorns and acquisition programs for leading serial acquirers. Offices are available in the Bay Area (Silicon Valley or San Francisco), Seattle, Santa Monica, or New York.
Key Responsibilities:
- Advise on complex M&A transactions for technology and life sciences companies, from early-stage startups to publicly traded corporations
- Work closely with serial acquirers, venture-backed unicorns, and private equity clients on high-stakes deals
- Draft and negotiate transaction documents, including purchase agreements, merger agreements, and shareholder agreements
- Manage due diligence, deal structuring, and post-closing integration
- Collaborate with cross-functional teams, including tax, IP, and regulatory specialists, to support client transactions
- Ensure compliance with corporate governance requirements and securities regulations
Qualifications:
- Juris Doctor (JD) from an ABA-accredited law school
- 3-5 years of M&A experience at a leading corporate law firm
- Strong deal execution skills, including drafting, negotiating, and managing transactions
- Exceptional academic credentials and oral, written, and interpersonal skills
- Experience advising technology and/or life sciences companies is a plus
- Active Bar membership in the jurisdiction where the candidate will work OR eligibility to sit for or waive into the next bar exam
