Fund Formation Corporate Associate – Technology & Life Sciences Law Firm
Our client, a prestigious technology and life sciences law firm, is seeking a Fund Formation Corporate Associate with 3-7 years of experience to join their rapidly growing private investment funds team. This firm has an internationally recognized corporate practice, advising technology and life sciences companies from early-stage startups to publicly traded corporations. Offices are located in Northern California (Silicon Valley and San Francisco), New York, Santa Monica, Seattle, and Washington, D.C.
Key Responsibilities:
- Serve as a core team member of the firm’s private investment funds practice, focusing on:
- Venture capital fund formation
- Venture studios, incubators, and accelerators
- Crypto-related fund structures
- Provide ongoing counsel to venture funds, institutional investors, and startup ecosystems
- Advise on corporate and securities regulations relevant to private investment funds
- Assist in structuring fund offerings, regulatory compliance, governance, and investor negotiations
- Collaborate with cross-functional teams across the firm’s technology and life sciences sectors
Qualifications:
- Juris Doctor (JD) from an ABA-accredited law school
- 3-7 years of experience in private investment fund formation and counseling, with a focus on VC or PE funds
- Extensive knowledge of corporate and securities regulations related to fund formation
- Superior academic credentials and top-tier professional experience
- Strong oral, written, interpersonal, and teamwork skills
- Entrepreneurial, self-starter mindset
- Bar admission in the state of the office applied for OR eligibility to sit for or waive into the next bar exam
