Our client is seeking an experienced Associate General Counsel to join their legal team. This role will collaborate with the General Counsel to oversee and protect the company's legal interests, ensuring compliance with relevant standards and reviewing contracts prior to execution. Part of the Associate General Counsel's responsibilities may include conducting discovery and interviews related to claims, mergers & acquisitions, and business development, which could involve occasional business travel. This person must possess a law degree from an accredited program. The associate counsel must also have passed the bar in the state or states in which they work. The ideal candidate will have some education in business and experience in company representation.
Location: California Hybrid with travel
Key Responsibilities:
- Provide general corporate legal services and counsel, under the direction of the General Counsel.
- Coordinate with outside attorneys.
- Provide legal advice and support to the General Counsel, executive team and department leaders
- Oversee and direct company litigation.
- Draft, review and negotiate agreements, contracts and policies.
- General contract management with organization and filing.
- Gain familiarity with cannabis rules and regulations in California.
- Assist in gathering information for external due diligence requests related to Mergers and Acquisitions (M&A) and assist with closing documentation and checklists.
- Review subscription agreements and assist subscribers in completing agreements and maintains copies of all agreements.
- Assists General Counsel in maintaining all corporate entities.
- Assists General Counsel with reinsurance issues as needed.
- Assists in analyzing, reviewing, and distributing information on new legislation, regulations, and court decisions.
- Supervises outside counsel handling corporate litigation and legal work for the Company.
- Reviews and assists in responding to subpoenas, document, and business records requests.
- Ability to make effective presentations on controversial or complex topics to top management, directors, courts, and public groups.
- Ability to write clear, concise, and grammatically correct contracts, documents, legal opinions, memoranda, and correspondence.
- Ability to negotiate resolutions of problems including contract terms, litigation, and inter-departmental issues.
- Executes ad hoc projects as assigned by direct supervisor
Qualifications:
- Bachelor’s degree (B.A.) from a four-year college or university
- Four years’ relevant experience and/or training in a company business setting
- Admission to State Bar of California required
Compensation: $185,000-$195,000 Salary
