We are seeking an experienced In-House Business Contracts Attorney to join the Risk & Compliance team. The ideal candidate will play a pivotal role in drafting, editing, and reviewing business vendor and service provider contracts. This attorney will lead contract negotiation processes, build strong internal and external relationships, and demonstrate business acumen and legal expertise, particularly in technology, purchase, and sale transactions.
Position Responsibilities:
- Draft, review, and negotiate business contracts that align with the firm’s objectives and policies, ensuring contracts support both business goals and legal requirements.
- Lead and collaborate throughout the contracting process by analyzing business, financial, and legal risks, providing creative solutions, and developing strategies for key negotiation points.
- Contract types include software, professional services, master service agreements, statements of work (SOW), cloud services, data protection agreements (DPAs), and more.
- Apply advanced knowledge of contract laws, firm policies, processes, and industry best practices to successfully close business contracts and ensure alignment with the firm’s strategic goals.
- Protect the firm’s interests by including appropriate provisions to resolve potential disputes, clearly documenting areas of conflict such as payment terms, assignment rights, and more.
- Collaborate with department representatives and firm leadership to understand contract needs for new deals and renewals, prioritizing deal support in the planning process.
- Implement a legal strategy to focus on high-value activities and ensure that key contracts, procurement initiatives, and sourcing strategies align with the firm’s legal function and priorities.
- Pay special attention to privacy/data security and risk management practices as they develop, ensuring compliance with firm policies and contract preferences.
- Monitor independent auditor and insurer policies to ensure compliance and effectively manage risk in business transactions.
Skills and Experience Required:
- JD degree.
- 5+ years of experience in contracts, negotiation, or related roles in a large law firm or corporation.
- Experience drafting and negotiating contracts related to technology, purchase and sale, software licenses, content licenses, outsourcing, professional services, real estate leases, general contractor, and architectural agreements.
- Advanced knowledge of key laws, processes, and industry practices related to business contracts and leases.

Compensation and Benefits:
- The expected annual pay range for this position with a full-time schedule is $155,000 - $205,000. Senior-level candidates may be considered for a higher salary range based on experience.
