We are seeking an experienced M&A Resource Attorney to join our dynamic team. This role provides an excellent opportunity to support the M&A group in a variety of ways, including transaction database management, form and precedent drafting, legal updates, and marketing/business development initiatives. The ideal candidate will have at least 7 years of experience in US M&A corporate/transactional law and will collaborate with senior attorneys to support efficiency and effectiveness across the group. This role does not involve direct client billing.
Key Responsibilities
- Transaction Database Management: Input deal terms from signed deals into a newly revamped database, working with the knowledge management team to maintain and audit it.
- Form and Precedent Drafting/Management: Draft and revise templates and organize M&A group precedents, forms, and resources.
- Legal Updates: Monitor developments in M&A law and regulation, preparing summaries and alerts for the team. Ensure that practice resources reflect new legal requirements.
- Legal Education: Collaborate with the legal education team to develop content for associate training and firmwide M&A-related educational efforts.
- Marketing/Business Development: Partner with the marketing team to strategize M&A promotion, create blog content, and assist with materials for pitches, presentations, and publications.
- Assist with Individual Attorney Requests: Provide ongoing support to attorneys, helping them access precedents, templates, and other necessary resources.
- New Initiatives: Contribute to knowledge management, resource development, and practice innovation projects as they arise.
- Other Duties: Assist with additional projects as required.
Qualifications
- At least 7 years of experience in US M&A corporate/transactional law.
- Strong understanding of public and private M&A, corporate governance, board fiduciary duties, and market trends.
- Excellent drafting, organizational, and communication skills.
- High attention to detail, particularly in document drafting and management.
- Strong project management skills and the ability to collaborate effectively with a wide range of stakeholders.
- Experience with both public and private M&A transactions.
- Flexibility to support new initiatives and evolving projects.

Compensation and Benefits
- Expected annual pay range: $275,000 - $335,000 (final offer based on experience and location).
