We are seeking a highly skilled and motivated M&A Resource Attorney to join our team. The ideal candidate will have at least 7 years of experience in US M&A corporate/transactional practice. This role will support our M&A group by managing transaction databases, drafting and managing forms and precedents, providing legal updates, contributing to legal education efforts, and assisting with marketing and business development initiatives. This position offers a unique opportunity to work in a dynamic and evolving legal environment without direct client billing.
Key Responsibilities
- Transaction Database Management: Input deal terms into a revamped database and coordinate with the knowledge management team to audit and maintain it.
- Form and Precedent Drafting/Management: Draft and revise templates and curate the M&A group’s forms, precedents, and other resources.
- Legal Updates: Monitor legal and regulatory developments in M&A practice and ensure new requirements are incorporated into practice resources.
- Legal Education: Collaborate with the legal education team to create content for associate training and firmwide M&A-related training.
- Marketing/Business Development: Work with the M&A marketing team to promote the group, including content for the M&A blog, pitches, and teach-ins.
- Assist with Individual Attorney Requests: Support attorneys with precedents, templates, and resources.
- New Initiatives: Contribute to resource, knowledge management, and practice innovation projects.
- Other Duties: Additional responsibilities as required.
Qualifications
- Licensed attorney with at least 7 years of experience in US M&A corporate/transactional law.
- Strong understanding of public and private M&A, corporate governance, board fiduciary duties, and market trends.
- Excellent drafting, organizational, and communication skills.
- Attention to detail, particularly in drafting and document management.
- Ability to handle multiple projects and collaborate with various stakeholders.
- Flexible, team-oriented approach and willingness to support new initiatives.
- Experience with M&A transactions (public and private) is preferred.
Compensation and Benefits
- Expected annual pay range: $275,000 - $335,000 (dependent on experience and location).
