  • Responsibilities

    We are seeking a Corporate Paralegal to join one of our leading law firm clients in Charlotte, NC, to support attorneys across multiple offices in corporate and transactional matters (4-5 in total including two partners). This is a hybrid role working remotely two days/week following a training period.

    Key Responsibilities:

    • Prepare and file entity formations, amendments, dissolutions, and shareholder/board meeting documents.
    • Assist with corporate transactions, including mergers, conversions, financings, and stock issuances.
    • File licenses, assumed names, renewals, and annual reports with regulatory agencies.
    • Conduct public record searches and manage due diligence for corporate transactions.
    • Handle IRS filings (SS-4s, S-Elections, 1023s, 8832s) and UCC filings with Secretaries of State.
    • Support apostille requests and compliance with the Corporate Transparency Act (BOI reports to FinCEN).
    • Manage entity records using entity management software and extranets.

    Qualifications:

    • 5+ years of corporate paralegal experience in a law firm or legal department. Paralegal certificate required; bachelor’s degree preferred.
    • Strong knowledge of corporate governance, entity formations, and regulatory filings.
    • Experience with corporate transactions, due diligence, and closing procedures.
    • Familiarity with Microsoft Office Suite, Adobe, and entity management software.
    • NC Notary Public commission (preferred).
    • Detail-oriented, highly organized, and proactive, with excellent communication and problem-solving skills.
  • Compensation
    $90,000 per year
