We are seeking a Corporate Paralegal to join one of our leading law firm clients in Charlotte, NC, to support attorneys across multiple offices in corporate and transactional matters (4-5 in total including two partners). This is a hybrid role working remotely two days/week following a training period.
Key Responsibilities:
- Prepare and file entity formations, amendments, dissolutions, and shareholder/board meeting documents.
- Assist with corporate transactions, including mergers, conversions, financings, and stock issuances.
- File licenses, assumed names, renewals, and annual reports with regulatory agencies.
- Conduct public record searches and manage due diligence for corporate transactions.
- Handle IRS filings (SS-4s, S-Elections, 1023s, 8832s) and UCC filings with Secretaries of State.
- Support apostille requests and compliance with the Corporate Transparency Act (BOI reports to FinCEN).
- Manage entity records using entity management software and extranets.
Qualifications:
- 5+ years of corporate paralegal experience in a law firm or legal department. Paralegal certificate required; bachelor’s degree preferred.
- Strong knowledge of corporate governance, entity formations, and regulatory filings.
- Experience with corporate transactions, due diligence, and closing procedures.
- Familiarity with Microsoft Office Suite, Adobe, and entity management software.
- NC Notary Public commission (preferred).
- Detail-oriented, highly organized, and proactive, with excellent communication and problem-solving skills.
