    • Exercises considerable autonomy within the scope of contracting activities, including negotiating, drafting, and reviewing complex contracts and contract-related documents with high-level executive exposure.
    • Assists in the management of the Company's contract management and commercial contracting process, ensuring that agreements accurately express the Company's business objectives while minimizing legal risks.
    • Drafts, negotiates and reviews commercial and technology contracts, including master services agreements, software as a service agreements, licenses, managed care agreements, statements of work, procurement agreements, confidentiality agreements, and consulting and vendor agreements.
    • Act as a knowledgeable and relevant advisor on legal and commercial risks associated with transactions while supporting Legal and business leadership in shaping and executing NVI’s procurement strategies.
    • Drafts and updates contract and legal provision templates and contract review policies and processes.
    • Manages existing contracts manager position and works closely with managers on all phases of negotiation and contract management process.
    • Evaluates risk and assists legal and business with implementing compliant and commercial solutions that are in the best interest of the Company.
    • Continuously develops understanding of the Company's legal risks and the Company's business goals and uses such understanding to provide recommendations to business stakeholders.
    • Builds and maintains relationships with clients, vendors, and other business connections.
    • Manages outside counsel as needed.
  • Qualifications

    Qualifications

    Work Experience

    • 8+ years Legal experience within a law firm or a combination of law firm/in-house. ((Required))

    Education

    • JD From an accredited law school

    Licenses, Certifications, Professional Affiliations

    • Bar Admission Licensed to practice law by state bar association; member in good standing Upon Hire ((Required))

    Additional Skills

    • Experience with Commercial Contracts and Procurement.
    • Experience managing complex contract matters and directing contracting strategy.
    • Experience negotiating Software as a Service Agreements of Software Licensing Agreements.
    • Experience negotiating data security and insurance provisions of contracts.
    • Experience as an advisor to internal risk management or audit teams regarding contract compliance with data governance requirements.
    • Possesses a general understanding of Health Law, HIPAA and state Consumer Privacy Laws.
    • Experienced user of Contract Management Software, preferably ICERTIS.
    • Experience working multiple projects simultaneously.
    • Comfortable in the role of peer educator and presenting complex information in a group setting.
    • Experience with AI tools; i.e. Microsoft Co-Pilot, etc.
