    Job Description

    The COUNSEL II provides legal advice and services on issues concerning the rights, obligations and privileges of the organization. Represents the organization to customers, suppliers, competitors and government agencies. Provides resolution of business or technical issues by identifying legal solutions and recommending a course of action. Examines legal data to determine advisability of defending or prosecuting lawsuits. 

    ESSENTIAL RESPONSIBILITIES. Activities and duties will vary dependent upon functional area assigned. Activities may include, but are not limited to:

    • Provides legal advice and service and is responsible for foreseeing and protecting the company against legal risks. 
    • Be the first point of contact in Legal for the Supply Chain organization
    • Drafts, negotiate and execute a variety of supply chain related contracts
    • Provide legal oversight of, and ultimately supplies legal approval of contracts for a broad variety of procurements initiatives.
    • Discusses and develops system, policy, and procedures affecting procurement and supply chain
    • Partners with supply chain executives to establish and create supply chain strategy, including strategic deals and initiatives with suppliers
    • Recommends resolution of legal and regulatory issues related to procurement contracts
    • Researches and drafts, rules, policies, and guidelines affecting procurement contracts
    • Reviews contractual and policy documents for legal sufficiency and compliance with statutory and regulatory requirements
    • Develops and/or oversees development of procurement templates to improve the efficiency in the contracting process.
    • Designs a contracting best practices playbook in collaboration with other legal team members
    • Performs other matters as assigned by the General Counsel or Supply Chain leadership
    • Prepares and examines contracts involving leases, licenses, purchases, sales, real estate, employment, insurance, mergers, acquisitions and related matters. 
    • Analyzes proposed and established legislation, prepares legal documents, and reviews company policies.
    • Provide legal and commercial support on business arrangements, including commercial contracts and the counseling of management in the formation of business strategies.
    • Structures, negotiates and documents complex deals relating to, supply, distribution
    • Drafts and negotiates amendments for existing agreements, as well as new and ongoing projects.
    • Manage key vendor relationships and evaluate and respond to proposals.
    • Works independently with minimal guidance on moderate to highly complex problems
    • Has thorough knowledge in own discipline, basic understanding of related disciplines, and may lead projects or act as a resource for colleagues.
  • Qualifications

    Qualifications

    • Juris Doctor from an ABA accredited school required.
    • 3+ years of legal experience required (law firm and/or in-house)
    • Must have a license from the State Bar
