    Overview:

    We are seeking a highly motivated and experienced Transactional Lawyer to join our dynamic Financial Services practice. The ideal candidate will have a strong background in complex financial transactions, a deep understanding of financial regulatory frameworks, and knowledge of syndicated credit facilities and leveraged finance transactions. This role will involve providing legal advice and support to a wide range of clients, including banks, investment firms, and other financial institutions.

    Responsibilities:

    • Drafting and negotiating: Prepare and review a variety of legal documents, including loan agreements, security documents, derivatives contracts, and other financial instruments.
    • Regulatory compliance: Ensure that all transactions comply with applicable laws and regulations, such as those governing securities, banking, and consumer protection.
    • Structuring transactions: Develop innovative and efficient transaction structures to meet the specific needs of clients.
    • Risk management: Identify and mitigate potential legal risks associated with financial transactions.
    • Client counseling: Provide strategic legal advice and counsel to clients on a wide range of financial matters.
    • Teamwork: Collaborate effectively with colleagues in other practice areas to provide comprehensive legal services to clients.

    Qualifications:

    • Juris Doctor degree from a reputable law school.
    • Admission to the North Carolina bar.
    • 4 – 8 years of transactional experience and must have a working knowledge of syndicated credit facilities and leveraged finance transactions.
    • Strong understanding of financial products and markets.
    • In-depth knowledge of relevant laws and regulations, including the Securities Act of 1933, the Securities Exchange Act of 1934, the Dodd-Frank Wall Street Reform and Consumer Protection Act, and applicable state laws.
    • Excellent drafting, negotiation, and analytical skills.
    • Strong interpersonal and communication skills.
    • Ability to work independently and as part of a team.
