    Job Description

    The General Counsel is the company’s chief legal officer and a key member of the executive team. This executive will report directly to the CEO and is responsible for overseeing all legal aspects of the organization, including risk management, corporate governance, contracts, compliance, and dispute resolution. The General Counsel will have a deep understanding of the enterprise’s business needs and offer strategic guidance on legal matters that impact expansion, acquisitions, and partnerships. As a key advisor to executive leadership, this collaborative leader will help strategically position the company for continued innovation and growth, both domestically and internationally, fostering operational excellence in a dynamic and rapidly changing industry.

    Key Responsibilities

    • Plan and direct all aspects of CRB’s legal affairs.
    • Provide strategic legal advice to executive leadership and the company’s Board of Directors on risk, governance, and compliance issues.
    • Corporate governance. Support the Board of Directors in fulfilling its governance responsibilities. Serve as Corporate Secretary and prepare and review Board materials, minutes, and resolutions, ensuring compliance with corporate law and regulations.
    • Build and maintain relationships with outside partners and internal stakeholders. Advise on the legal and contractual aspects of agreements and support strategic decision-making.
    • Identify and review changes to law and regulations and advise management about any impact to the business.
    • Provide guidance and counsel to management on business transactions and initiatives.
    • Oversee and manage all litigation matters, and outside counsel relationships as necessary, to assure the safeguarding of the company’s interests in legal proceedings.
    • Lead and develop the legal team, fostering a collaborative and high-performance culture.
  • Qualifications

    Qualifications

    Minimum Qualifications

    • Juris Doctor Degree from an accredited law school, and membership in good standing with a state bar association.
    • Minimum of twenty years of legal experience, preferably in a construction law practice or corporate legal department.

    Additional Qualifications

    • Experience in corporate law, including significant service in a leadership role within a corporate legal department, preferably in the AEC industry.
    • Experience in dealing with a corporate board of directors and board committees, familiarity with governance structures and processes.
    • Expertise in corporate governance, risk management, and dispute resolution.
    • Experience in successfully executing mergers and acquisitions, and joint ventures, ensuring smooth transitions and mitigating risks for stakeholders.
    • Ability to develop strong relationships and collaboratively partner with internal stakeholders to assess legal and business risks and support the implementation of suitable mitigation remedies.
    • Strong leadership skills, including the ability to coach and mentor corporate counsel and paralegals.
    • Demonstrated organizational and business leadership capabilities with effective communication skills.
