  • Responsibilities

    Responsibilities :

    This position requires split time between Houston and Saudi Arabia.

    Work with partners on various cross-border projects, including (among others):

    o Drafting, reviewing and commenting on various turn-key contracts (BOT, BOOT, BOO, BTO, EPC, DBFOM, etc.) and other project documents on behalf of employer, developers or contractors (as the case may be);

    o Advising on construction matters, including FIDIC based construction projects;

    o Advising clients on Public Private Partnership (PPP) projects, including their application;

    o Advising and drafting relevant documents on structuring SPV's, JV's and other forms of project companies;

    o Negotiating all of the above with counter-parties, banks and other stakeholders.

    o Advise, draft and negotiate various corporate/commercial matters, including but not limited to DD reports, SHA's, SPA's, MoA's, Bylaws, Operating Agreements;

    o Advise on the cross-border manufacturing, sale and services related to oil and gas products and projects – including drafting, reviewing and/or negotiating offtake contracts, drilling contracts, supplier agreements, vendor agreements, agencies, distributorships, and other project documents;

    o Provide support to Partners with local legal matters;

    o Travel as and when necessary (internationally or domestically) to meet with clients and firm attorneys in other offices;

    o Research various local and international laws as required for each instance;

    o Assist the dispute resolution team with claim reviews and case strategy related to project and construction disputes;or fintech matters

    o Assist with cross-border deal structuring negotiations; and

    o Other similar matters.

    Qualifications

    The successful candidate will possess the following attributes:

    - A Juris Doctor from a US-accredited university;

    - A member of a bar association within the United States, with preference to the Texas Bar Association;

    - At least 2-5 years of post-qualification experience;

    Mandatory Experience:

    - Fintech

    - Corporate/commercial transactions;

    - Previous experience with cross-border transactions is preferred;

    - Familiarity with US and Texas laws is required;

    - Familiarity with LexusNexus, Practical Law and WestLaw is mandatory;

    - Dynamic and self-motivated professional.
