Our client has an opening for an experienced Transactional Legal Secretary in our Corporate and Securities and Real Estate practice areas. Salary is commensurate with experience.
Job Responsibilities:
- Provide administrative support to Corporate and Securities and Real Estate attorneys and paralegals
- Prepare, revise, proofread and redline legal documents
- Prepare documents and facilitate entity formation (i.e. corporations, LLCs) and general corporate governance
- Compose materials such as correspondence, minutes, real estate, and finance documents and general forms
- Create, copy, and mail correspondence to clients and various government agencies
- File documents with the Secretary of State, County Recorder, Board of Equalization, Internal Revenue Service, FinCEN, and SEC and State Securities agencies
- Track certified mailings and overnight deliveries
- Prepare engagement letters, conflict waivers, run conflicts reports, and submit new matter openings
- Maintain attorney calendars and monitor important deadlines
- Manage, plan, and calendar all conference calls and meetings, including client interface
- Perform administrative support functions, such as scanning documents into document management system, e-mailing documents to clients, maintain and update electronic and physical files, prepare and submit check requests, process invoices, and schedule conference rooms etc.
Qualifications:
- A minimum of three years' experience as a Legal Secretary with transactional experience in corporate law, commercial and business transactions, and securities; real estate
- Familiarity with federal and state securities filings, Reg D and state securities exemption filings
- Strong system skills in document management systems and digital filing
- Proficient knowledge of Outlook, Word, DocuSign, and Excel
- Ability to maintain the highest level of confidentiality
- Strong organizational skills and attention to detail
- Superior oral and written communication skills
- Excellent interpersonal skills: ability to interact well with clients, vendors and coworkers
- Ability to balance competing and changing priorities
- Ability to work independently and as part of a team
- Diligent in meeting deadlines and completing assigned tasks
