Job Description: Legal & Corporate Governance Counsel Summary of Role As the Legal & Corporate Governance Manager your job duties will include drafting and reviewing contracts, searching for relevant regulatory documents, and providing legal advice to company management. The role will provide a pragmatic in-house legal support service to the organization and to support the mitigation of risk arising from any legal, regulatory, compliance or governance issues. Position Responsibilities * Responsible for reviewing, tracking, and monitoring Comptroller and Secretary of State procedures that impacts the Company and its Subsidiaries. * Drafting, filing and managing various business entity documents for corporations, LLCs and partnerships with State agencies. * Create organizational documents, including certificates of formation, articles of incorporation or dissolution, stock certificates, merger agreements and employment agreements. * Manage discovery requests by compiling documents for requests for production and general subpoena compliance. * Organize and maintain legal corporate notebooks and audits on a routine basis. * Draft, review, negotiate and advise on the preparation of all contracts, licenses, and other legal agreements (such as NDAs) * Work with internal stakeholders to increase awareness and skills in relation to contract management and legal risk, partnering with key individuals within the organization to identify potential legal issues as they arise. * Support the continued improvement of standard form agreements, contract management and legal processes and implement improved systems and procedures where required * Review all grant agreements - considering legal obligations, IP rights, tax considerations and any other restrictions. * Assist managers to put into practice regulatory or funder requirements, in particular through contract review and negotiation. Position Requirements and Experience * Juris Doctor degree required. * 3+ years as an Attorney, with an emphasis on contract, corporate governance, and employment law. * Excellent understanding of legal requirements and best practice in public policy corporate governance * High proficiency in MS Office Suite (Word, Excel, Outlook, PowerPoint), CRM and Salesforce. * Expert level of written and verbal communication skills and high initiative for reporting and updating * High level of professional discretion, trustworthiness, confidentiality, and executive representation * Excellent organizational skills with the ability to create and maintain hard and soft copy filing systems, task lists tracking and managing sensitive and confidential data * Ability to maintain a positive work disposition and good work ethic regardless of work demands * Expert experience with finance technology, Key Performance Indicators, Power BI, attorney billing systems and business intelligence Qualities and characteristics * Capable of championing and leading development of corporate initiatives * Proven ability to work independently and on a self-sufficient basis * Ability to prioritize complex and competing demands and highly competent at multitasking * Extremely organized with commitment to maintaining user-friendly systems, procedures and records * Strong oral and written communication skills with excellent attention to detail and exemplary drafting and proofing abilities * Unquestionable commitment to maintaining confidentiality * Strong computer literacy with good working knowledge of MS Office. An experience of document management systems would be an advantage * Strong interpersonal skills and ability to work cohesively with peers, managers, department heads, executives, internal and external clients.
