In this role, you will oversee: • Contract drafting • Bylaws • Articles of incorporation • Risk mitigation • The drafting of policies, procedures, and legal documents for nonprofit businesses You must be a barred attorney in good standing with the state bar association, have a current license to practice law, and possess excellent negotiation, and communication skills. Why FPLG? • Collaborative and inclusive work culture • Opportunities for professional development and remote work • Meaningful work with impactful clients • Competitive compensation and benefits Responsibilities: • Direct the efforts of paralegals, support staff, and outside lawyers hired to assist in case resolution • Modify, draft, and review contracts, process and procedure policies, government and financial reports, and other legal documents as required • Represent clients as legal counsel during administrative board reviews, legal proceedings, and litigations when necessary • Complete extensive due diligence and complex legal research • Shield clients from legal risks and regulatory violations in all business transactions and develop strategies for risk-mitigation • Assess legal rights and legal risk of various company structures, and make recommendations for corporation, joint venture, limited partnership, and limited liability company options • Advise clients towards best practices in corporate law regulation compliance by providing legal advice on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory issues Summary of who we are looking for: • An Attorney who loves communicating with clients and helping them move forward in a strategic fashion so they can reach their goals faster • An Attorney who takes the time to understand what brought the client in and what they genuinely want so we can orchestrate a plan using the legal process • An Attorney who takes the time to formulate a strategic plan to best position the client for the desired result and presents that strategy to both the client and the rest of the legal team that strategy so everyone is on the same page • An Attorney who performs legal services such as legal analysis, legal strategy planning, overseeing and analyzing legal documents, conferring with other attorneys, and advising clients to name a few • Likewise, an Attorney who understands the value of delegating to others on the team and creating a team approach to get more done in less time • An Attorney who also enjoys opportunities to network with other colleagues and community members to build the reputation of the Firm and the Team in the community Expectations for Attorneys at our Firm: • Engage in Preliminary Legal Strategy Sessions with clients to fully understand the facts and the goals in order to perform legal analysis and legal strategy planning • Engage with the Legal Team to share legal strategy on each matter so the legal team can be in alignment with the client’s interest in reaching their goal, the team’s interest in moving clients forward, and the Firm’s interest in creating raving fans • Communicate with clients and advise clients on key junctures so they fully understand their options, and can make a fully informed decision • Prepare notes to the file and ensure correspondence is accessible throughout the matter to appropriately apprise all team members and the client of the status of the last 2 steps taken and the next 2 steps planned so everyone understands the plan • Engage with the Team to create a collaborative culture including contributing and participating in team training, team builders, and other growth opportunities • Coordinate the creation of billable time entries that convey the forward movement with the Billing clerk; stay on target with Key Performance Indicators set by quarter Qualifications: • Licensed to practice law and member in good standing of the state bar association • Advance transactional knowledge and understanding of corporate law, securities law, and tax law is vital • Superior negotiation, analytical, and communication skills are essential • Minimum of 3-5 years of experience as a corporate lawyer, as in-house counsel for a corporation, or as a staff attorney or associate attorney for a corporate law firm • Candidates must have a bachelor’s degree and a J.D. degree from an accredited law school Compensation: $110,000 - $140,000 yearly
