Our client, a fast-paced and growing female-owned law firm, is seeking a Senior Paralegal with expertise in Mergers and Acquisitions (M&A), Fund Formation, Corporate Financing, and other General Corporate matters. The ideal candidate will support attorneys in managing a range of complex transactions and corporate matters, working with small to medium-sized businesses that range from $1M to $100M in annual revenue.
Key Responsibilities:
- Assist attorneys in all stages of M&A transactions, fund formation, and corporate financing, including document preparation, due diligence, and closing processes.
- Prepare, review, and manage corporate governance documents, contracts, agreements, and transactional paperwork.
- Coordinate with external clients, stakeholders, and business partners to gather necessary documentation and information.
- Conduct legal research and compile data for attorney use in transactional matters.
- Ensure timely filings and maintain meticulous records of all legal documentation.
- Support attorneys in drafting and managing compliance and regulatory filings with relevant state and federal authorities.
- Organize and manage deal files, ensuring all documents are complete, accurate, and properly executed.
- Maintain confidentiality of all sensitive information.
Qualifications:
- 5+ years of paralegal experience with a strong focus on M&A, fund formation, corporate financing, and general corporate law.
- Bachelor’s degree or Paralegal Certification from an ABA-approved program.
- Excellent understanding of corporate governance, contracts, and transactional law.
- Strong research skills and experience with legal databases and corporate records management.
- High attention to detail with the ability to prioritize and multitask in a fast-paced environment.
- Strong organizational and communication skills.
- Proficiency in Microsoft Office Suite and legal research tools.
- Ability to work independently and as part of a collaborative team.
