Associate General Counsel

The Associate General Counsel leads Franchisor strategic, tactical legal and transactional initiatives for Paul Davis Restoration, Inc. in North America. Responsibilities will be to provide transactional management in the US and Canada, regulatory updates to the Franchise Disclosure Documents with effective legal advice on day-to-day business issues.

This role will also oversee Franchisor strategies and their implementation, structuring, negotiating and drafting of third-party legal documents, provide counsel to senior management and oversee the work of outside counsel. The Associate General Counsel may also assist with risk management oversight and will be directly involved in all complex business transactions.

$130K-$140K Yearly

RESPONSIBILITES:

Advise internal teams and interact with external parties on a wide variety of Franchisor related issues, contracts, business transactions, litigation and claims, regulatory issues, intellectual property, and other issues that may arise.

Negotiate, write, and execute agreements and contracts.

Advise executives within the company and work alongside employees in Strategic Business Units including Operations, Marketing, Brand Communication, Franchise Sales, Business Development, Procurement and Compliance.

Manage various projects and deadlines.

Advise executives on contract status, legal risks and business terms of various deals.

Draft terms and conditions in agreements.

Assist with and manage budget for outside counsel to ensure legal objectives are met.

Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes.

Keep abreast of legislative changes that may affect the company and its affiliates.

Perform pre-litigation work to minimize risks and maximize legal rights.

Review advertising and marketing materials to ensure compliance with legal requirements. Develop solutions to complex legal questions.

Assume ultimate responsibility for ensuring that PDRI franchisees conduct business in compliance with the Franchise Agreement, applicable laws and regulations, including ensuring the preparation and timely submission of all required filings.

Interact with internal staff and insurers on claims and litigation.

Maintain appropriate state and local registrations, licenses, and qualifications.

Participate in the development of corporate policies, procedures, and programs

Competency – Knowledge, Skills and Abilities:

JD and three to ten years experience in franchising (preferred) and as a practicing lawyer.

Current License to Practice Law.

Demonstrated achievement as a strategic leader in driving Franchisor related strategies that support the business imperatives of a high performance, high growth organization.

Leadership experience in a multi-location organization with a distributed workforce.

Has experienced both large, small and fast growth companies.

Experienced within an environment of continuous business process improvement.

Business acumen…knowledge and understanding of one’s business, namely: strategic planning, values, market challenges, competitive advantage, financial & performance measures, core operating disciplines, external business influences, etc.

Demonstrated achievements in driving change that effectively impacts an organization is essential.

Exposure to and/or familiarity with the following areas of law is a must: Franchising, contracts/transactional law and general business law.

Excellent written and oral communication skills.
