Overview
Our client, a leading insurance organization, is seeking a Technical Accounting Manager to join their Controllership team. This role focuses on technical accounting matters, including business combinations and capital market transactions. Reporting to the Director of Technical Accounting and SEC Reporting, this position requires cross-functional collaboration with teams such as M&A, Legal, Tax, Treasury, and FP&A.
Key Responsibilities:
- Analyze purchase agreements for accounting implications (e.g., contingent consideration, compensation arrangements).
- Research and document complex accounting transactions, including M&A, equity-based compensation, and debt/equity offerings.
- Maintain and update the company’s accounting policy library.
- Implement new accounting standards and collaborate with stakeholders on their impact.
- Provide input for SEC filings in coordination with Legal and Reporting teams.
- Work with external valuation specialists on business combination valuations.
- Prepare quarterly pro forma disclosures and perform goodwill impairment assessments.
- Ensure SOX compliance by executing controls over accounting and reporting.
- Support external audits and address technical accounting issues.
- Contribute to special projects as needed.
Qualifications:
- Bachelor’s degree in Accounting required; Master’s degree a plus.
- CPA certification required.
- 6+ years of professional accounting experience, preferably in Big 4 or similar environments.
- Expertise in ASC 805 (Business Combinations); familiarity with ASC 606 and ASC 810.
- Strong knowledge of GAAP and SEC reporting requirements.
- Exceptional attention to detail, organizational skills, and ability to manage multiple priorities.
- Analytical mindset with excellent research and communication skills.
