Job Description

Privately-held company headquartered in Atlanta seeks experienced corporate transactional attorney to assist with general corporate and transactional work. Remote or telecommuting is an option for a portion of the work week.

RESPONSIBILITIES:

• Draft and negotiate asset and stock purchase agreements including all schedules, exhibits and ancillary documents
• Personally handle all of the due diligence related to private company acquisitions on behalf of the purchaser
• Oversee the closing of private company acquisitions and divestitures
• Advise on business and legal transactions
• Comply with all legal standards and regulations
• Perform administrative and management functions related to the practice of law

​​QUALIFICATIONS:

• 2+ years of transactional experience, preferably in a law firm setting
• Must have extensive experience with mergers & acquisitions, particularly representing the purchaser
• Familiarity with stock and asset purchase agreements
• Strong analytical and problem solving skills
• Ability to build rapport with teammates
• Excellent written and verbal communication skills
