    Job Title: Vice President, Legal

    Location: Remote, with some travel to Southern California

    Reports to: Business Development Leader

    Job Summary:

    The Vice President, Legal is a key member of the leadership team, responsible for overseeing all legal aspects of the company’s general corporate work, commercial contracts, and Mergers & Acquisitions (M&A) activities. This role will provide strategic legal guidance, ensure compliance with relevant laws and regulations, and manage legal risks across the organization. The ideal candidate will have extensive experience in corporate law, a strong background in managing complex commercial contracts, and a proven track record in leading the legal aspects of M&A transactions.

    Key Responsibilities:

    General Corporate Work:

    Provide legal advice on a wide range of corporate matters, including governance, securities law, and corporate structure.

    Draft, review, and negotiate corporate governance documents, including board resolutions, corporate minutes and financing documents.

    Ensure compliance with all applicable laws and regulations related to corporate operations, including reporting requirements and corporate filings.

    Commercial Contracts:

    Draft, review, and negotiate complex commercial contracts, including supplier agreements, licensing agreements, partnership agreements, and service contracts.

    Advise on the legal aspects of contract negotiations, ensuring alignment with business objectives and risk mitigation.

    Develop and maintain standardized contract templates and manage the contract lifecycle process.

    Mergers & Acquisitions:

    Lead the legal due diligence process for M&A transactions, identifying risks and opportunities related to acquisitions, divestitures, and joint ventures.

    Draft, review, and negotiate transaction documents, including term sheets, letters of intent, purchase agreements, and related ancillary documents.

    Collaborate with cross-functional teams, including finance, HR, and operations, to ensure smooth integration and alignment post-transaction.

    Manage external counsel and other advisors as needed to support M&A activities.

    Risk Management and Compliance:

    Identify and mitigate legal risks across all areas of the business, including corporate governance, commercial operations, and transactions.

    Develop and implement policies and procedures to ensure compliance with applicable laws and regulations.

    Provide training and support to business units on legal and compliance issues.

    Team Management:

    Collaborate with executive leadership to align legal strategy with business goals.

    Manage relationships with external legal counsel and other third-party service providers.

    Qualifications:

    Juris Doctor (JD) degree from an accredited law school; active membership in good standing with a state bar.

    5+ years of legal experience, with a strong background in corporate law, commercial contracts, and M&A.

    Proven experience in leading and managing complex M&A transactions from inception to post-closing integration.

    Strong understanding of corporate governance and compliance.

    Excellent negotiation, drafting, and communication skills.

    Ability to work collaboratively with senior leadership and cross-functional teams.

    Strong leadership and team management skills, with a focus on mentoring and developing legal talent.

    High level of integrity, ethics, and professionalism.

    Preferred Qualifications:

    Experience in a start-up VC-backed company or a services business.

    Prior experience as in-house counsel or in a senior legal role in a corporate setting.

    Demonstrated ability to manage multiple priorities in a fast-paced environment.
